Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and skills123 (“skills123,” “we,” “our,” or “us”) regarding your use of skills123.com and any related services (collectively, the “Service”). Please read them carefully. By creating an account or using the Service you agree to these Terms.
1. Acceptance of terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use the Service. You must not be barred from using the Service under applicable law, and you must not be located in a country subject to comprehensive U.S. trade sanctions.
3. Accounts & security
You are responsible for maintaining the confidentiality of your login credentials and for all activity on your account. Accounts are personal and may not be shared, transferred, or sold. Notify us immediately at security@skills123.com of any unauthorized access. You must provide accurate information and keep it up to date.
4. Subscriptions & billing
4.1 Plans
We offer Basic, Pro, and Lifetime plans as described on our pricing page. Features and limits per plan may change with reasonable notice.
4.2 Fees & auto-renewal
Subscription fees are billed in advance on a recurring basis (monthly or annually) and will automatically renew at the then-current price until you cancel. Lifetime plans are billed once and grant access for the operational lifetime of the Service. All fees are exclusive of taxes unless stated otherwise.
4.3 Cancellation & refunds
You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period. Refund eligibility is governed by our Refund Policy. Statutory refund rights (for example, the EU 14-day withdrawal right) are not affected.
4.4 Failed payments
If a payment fails, we may retry the charge and may suspend or downgrade your access until the balance is paid.
5. Acceptable use
You agree not to:
- Scrape, crawl, or harvest content or data from the Service using automated means without our prior written consent.
- Resell, sublicense, or commercially exploit courses, materials, or any part of the Service.
- Share your account credentials or let others use your account.
- Reverse-engineer, decompile, or attempt to extract source code or model weights.
- Upload malware, attempt to breach security, probe for vulnerabilities, or bypass rate limits.
- Use the Service to harass, defame, or infringe the rights of others, or to generate unlawful content.
- Use the Service to train competing machine-learning models.
6. Intellectual property
The Service, including course videos, slides, AI tutors, audio, text, design, code, and trademarks, is owned by skills123 or its licensors and is protected by copyright, trademark, and other laws. Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and stream course content solely for your personal, non-commercial learning.
Course content is streamed and is not intended to be downloaded, copied, redistributed, mirrored, republished, or used to train AI models. All rights not expressly granted are reserved.
7. User-generated content
You retain ownership of any content you submit to the Service (e.g., forum posts, assignments, messages to AI tutors). By submitting content, you grant skills123 a worldwide, royalty-free, non-exclusive license to host, display, reproduce, and create derivative works of that content solely to operate and improve the Service. You represent that you have the rights necessary to grant this license and that your content does not violate law or third-party rights. We may remove content that violates these Terms.
8. AI-generated content
The Service uses artificial intelligence to generate video, audio, slides, explanations, quizzes, and tutor responses. AI outputs may be inaccurate, incomplete, outdated, or inappropriate (“hallucinations”), and should not be relied upon as professional, legal, medical, financial, or safety advice. Always verify critical information with a qualified professional. You are responsible for how you use AI outputs.
9. Certificates
Upon meeting a course’s completion criteria you may receive a skills123 certificate. These certificates represent completion of the course as offered on skills123 and are not an accredited qualification unless explicitly stated on the course listing. We make no representation that a certificate will be recognized by any employer, regulator, or academic institution.
10. Third-party services
The Service integrates with third-party providers (e.g., Stripe, HeyGen, ElevenLabs, Mux, PostHog, Sentry, DigitalOcean). Your use of any third-party service is subject to that provider’s own terms. skills123 is not responsible for the acts or omissions of third-party providers.
11. Suspension & termination
We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or pose a risk to the Service or other users. You may terminate at any time by canceling your subscription and closing your account. Sections that by their nature should survive termination (e.g., IP, disclaimers, liability, arbitration) will survive.
12. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, skills123 disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or trade usage. We do not warrant that the Service will be uninterrupted, error-free, or that any content will be accurate or reliable.
13. Limitation of liability
To the maximum extent permitted by law, skills123 and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 100.
Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g., for gross negligence, willful misconduct, or statutory consumer rights).
14. Indemnification
You agree to indemnify and hold harmless skills123 and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with (a) your use or misuse of the Service, (b) your violation of these Terms, or (c) your violation of any law or third-party right.
15. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Dispute resolution & arbitration
Before filing a claim, you agree to try to resolve the dispute informally by emailing legal@skills123.com. If we cannot resolve it within 60 days, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Wilmington, Delaware, conducted in English. You and skills123 waive the right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing the address above. Nothing in this section prevents either party from seeking injunctive relief in court for intellectual-property infringement.
17. Changes to these terms
We may revise these Terms from time to time. If we make material changes, we will provide at least 14 days’ advance notice by email or in-product notification. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
18. Miscellaneous
These Terms, together with our Privacy Policy and any policies incorporated by reference, are the entire agreement between you and skills123 regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
